Board of Directors

Francois M. Blaudeau, M.D. has served as Chairman of the Board of Directors since January, 2002. He is currently in private practice in Obstetrics and Gynecology in Birmingham, Alabama with hospital privileges at Brookwood Medical Center, Carraway Methodist, HealthSouth Medical Center, Bessemer Carraway Medical Center and Shelby Memorial Medical Center. In 1995, Dr. Blaudeau founded the Lifetime Wellness, Inc., a wellness company. Dr. Blaudeau received his Bachelor of Arts degree from Birmingham Southern College in 1981 and his M.D. degree from the University of Alabama School of Medicine in July, 1987. He was a resident in Obstetrics and Gynecology at Tulane University School of Medicine from July 1987 through 1991. Dr. Blaudeau received written board certification in 1993. Dr. Blaudeau recently received his J.D. degree from Birmingham School of Law (1998). He is a member of the American College of OB/GYN, the American College of Legal Medicine, Jefferson County Medical Society, Alabama Medical Association and the Alabama Quality Assurance Foundation. Michael W. Smith CEO and President, Mr. Smith served as President and Director since the commencement of the Company's business in May, 1995. In April 1997, he was appointed Chief Executive Officer and from March 2001 until January 2002 he served as Chairman of the Board of Directors. He remained President, Director, and CEO, until October, 2000, when Richard Vogel joined the Biomedical Disposal, Inc. management team. From 1993 to 1995, Mr. Smith served as President, Chief Executive Officer, and Director of Carisys, Inc., an Atlanta-based manufacturer of proprietary technology for the surface mount chip industry. While at Carisys, Mr. Smith assisted in the development of proprietary machinery designed to make carrier tape faster and more reliable. In 1992, Mr. Smith and a group of Atlanta investors founded Peachtree Fiber Optics, Inc. for the manufacturer of plastic optical fiber. Peachtree Fiber Optics, Inc. instituted an initial public offering in the fall of 1992. Mr. Smith served as president and a director of Peachtree Fiber Optics, Inc. until the fall of 1992 and as vice president and director until February, 1993. From 1982 to 1992, Mr. Smith was instrumental in the development of Peachtree Technologies, Inc. serving as its president, chief executive officer and director during this time. Developed as a systems integrator, Peachtree Technologies, Inc. expanded into a multi-state computer retail and service organization. In 1989, Peachtree Technologies, Inc.'s technology group expanded into fiber optic automated machinery development, engineering and manufacturing, serving such customers as AT&T/Bell Labs, Sumitomo, Litespec, Alcatel and other fiber optic fiber and cable manufacturing companies around the world. At this time, Peachtree Technologies, Inc. was a world leader in high speed specialized manufacturing equipment for the fiber optic industry. [ Top of page ]

W. Greg Green is the Vice President, Physician Practice Administration with Computer Science Corporation's Healthcare Group in Birmingham, Alabama. Prior to joining Computer Science Corporation in early 1999, Mr. Green served as the Executive Administrator of the Department of Anesthesiology at the University of Alabama at Birmingham, a position which he has held since 1980. Mr. Green was responsible for the organization of the administrative structure of the Department including all hiring and management of appropriate support personnel and served as Chief Fiscal and Operating Officer and was the head of the anesthesia department for University Hospital. From 1978 to 1980, Mr. Green served as Director, Compensation and Benefits for the University of Alabama at Birmingham. From 1974 to 1978, Mr. Green was with Blue Cross and Blue Shield of Alabama reaching the position of Assistant District Manager for the Birmingham District Sales Office. Mr. Green has also served in the United States Air Force attaining the rank of Captain. Mr. Green served on the Board of Directors of the Medical Group Management Association during 1988-89 and was President of the Anesthesia Administration Assembly of that organization during that same year. Mr. Green has served as a consultant to public and private medical organizations including, among others, Brigham & Women's Hospital Anesthesia Foundation, Inc., Duke University Department of Anesthesiology, University of South Alabama Department of Anesthesiology, Cullman Hospital Anesthesia Group and Bessemer Carraway Hospital. Within the University of Alabama at Birmingham, Mr. Green served as Chair of the Cost Allocation Workgroup Committee, a member of the Financial Accounting System forum, the University Compensation Committee and others. Mr. Green is a graduate of the University of Alabama at Tuscaloosa and also received a Masters in Business Administration from the University of Alabama at Birmingham. [ Top of page ]

Michael M. E. Johns, M.D. joined the Board of Directors in February, 1999. Dr. Johns is the leader of Emory University's wide-spread academic and clinical institutions and programs in the health sciences. He oversees the School of Medicine, the Neal Hodgson Woodruff School of Nursing, the Rollin School of Public Health, the Yerkes Primate Research Center, and Emory Healthcare, including the Emory Clinic and more than a dozen primary care centers, Emory University Hospital, Crawford Long Hospital, Wesley Woods Center of Emory University and the jointly owned Emory Adventist Hospital. From 1990 to 1996, Dr. Johns was the Dean of the John Hopkins School of Medicine and Vice President for Medical Affairs at John Hopkins University. A specialist in the management of head and neck tumors, Dr. Johns is internationally recognized as a cancer surgeon. He has published more than 150 scientific papers in his field. He is presently editor of the Archives of Otolaryngology and on the Editorial Board of the Journal of American Medical Association. Dr. Johns is a member of the Institute of Medicine of the National Academy of Sciences, a fellow of the American Association for the Advance of Science and on the Executive Council of the Association of American Medical Colleges. Mark C. Rogers, M.D., M.B.A., is presently President of Paramount Capital Corporation, a New York based investment and merchant banking firm specializing in the pharmaceutical industry. Dr. Rogers joined Paramount in June of this year. From May 1996 to May 1998, he has served as the head of strategic planning and business development for Perkin-Elmer, a Connecticut-based maker of gene-sequencing systems and other analytical and research instruments. Prior to May of 1996, Dr. Rogers was Vice Chancellor for Health Affairs of Duke University Medical Center and Executive Director and Chief Executive Officer of Duke Hospital and Health Network. Dr. Rogers was responsible for the overall administration of Duke Hospital, a 1,124 bed teaching facility located in Durham, North Carolina. Dr. Rogers joined Duke University in 1993, after 15 years at Johns Hopkins University, where he held a number of senior positions, including Distinguished Faculty Professor and Chairman of the Department of Anesthesiology and Critical Care Medicine, Associate Dean for Clinical Practice, Director of the Pediatric Intensive Care Unit, and Professor of Pediatrics. Dr. Rogers received his undergraduate degree from Columbia University and his medical degree from Upstate Medical Center in New York. Additionally, he earned his Masters in Business Administration from the Wharton School of the University of Pennsylvania. He also completed a Pediatric Fellowship at Children's Hospital Medical Center in Boston, a Cardiology Fellowship at Duke University Medical Center and an Anesthesiology Fellowship at Massachusetts General Hospital in Boston. Dr. Rogers has authored over 150 papers and 9 books and has lectured around the world as an expert in intensive care of children. In addition to his academic activities, Dr. Rogers has been involved as a founder for a number of biomedical companies and serves on the board of directors of a number of public companies in the field of health care.
