Operating Principles

The need is critical. On average, American health care workers suffer an accidental needlestick every 31.5 seconds. And those are only the reported incidents. Biomedical Disposal, Inc., recognizes both the risks faced by health care workers who must handle used hypodermic needles before disposal and the health care industry's high costs in diagnosing and treating needlestick injury. By reducing the potential for accidental needlesticks,Biomedical's advanced-technology products and services can help make health care less costly.

Our business is to build a safer healthcare workplace through the innovative application of technology and behavior-based performance management. We offer complete and comprehensive solutions to healthcare provider needs for safety, technology and compliance; both as a medical device manufacturer, and as an Application Service Provider.

Company History

Biomedical Disposal Inc. was founded in 1995 to research the transfer of bloodborne pathogens to workers in the healthcare workplace. Almost a year was consumed in collecting data, selecting a scientific board to review the data and to research the solutions that were suggested. This was to be accomplished through the innovative application of new health technologies and behavioral based management. In early 1996 with the accumulated information concerning the problem, the company made its first purchase of technology as a partial solution to the infection of healthcare workers to accidental needle stick incidents. In the development of the new technology and real world testing of the implementation, our internal team quickly discovered that the problem was complex and behavioral in nature. Both technology and controls would have to be in place to solve the problem. The Company today has defined itself as a two-pronged provider for medical safety: safety products manufacture and development, and Application Service Provider proving compliance and consultation services to the medical workplace.

As OSHA regulation and Federal mandates have developed, risk reduction has become of paramount importance as a growing public concern. Company response has been the acquisition and development of new products including the Sharpx® Needle Destruction Device, safety needle technologies, and other risk reduction products. Concurrently, development was begun on the Needlestick Incident Control System, (NICSx®). BioMed's system provides compliance along with a comprehensive program to identify and define critical performance problems, gather and record pertinent data, provides feedback control and data analysis.

BioMed has evolved from research and development into a full service provider to the healthcare industry. A two-fold company: safety product manufacture and development, and Application Service Provider delivering research, consultation and compliance services.

Management Background

Michael W. Smith CEO and President, Mr. Smith served as President and Director since the commencement of the Company's business in May, 1995. In April 1997, he was appointed Chief Executive Officer and from March, 2001 until January, 2002 he served as Chairman of the Board of Directors. He remained President, Director, and CEO, until October, 2000, when Richard Vogel joined the Biomedical Disposal, Inc. management team. From 1993 to 1995, Mr. Smith served as President, Chief Executive Officer, and Director of Carisys, Inc., an Atlanta-based manufacturer of proprietary technology for the surface mount chip industry. While at Carisys, Mr. Smith assisted in the development of proprietary machinery designed to make carrier tape faster and more reliable. In 1992, Mr. Smith and a group of Atlanta investors founded Peachtree Fiber Optics, Inc. for the manufacturer of plastic optical fiber. Peachtree Fiber Optics, Inc. instituted an initial public offering in the fall of 1992. Mr. Smith served as president and a director of Peachtree Fiber Optics, Inc. until the fall of 1992 and as vice president and director until February, 1993. From 1982 to 1992, Mr. Smith was instrumental in the development of Peachtree Technologies, Inc. serving as its president, chief executive officer and director during this time. Developed as a systems integrator, Peachtree Technologies, Inc. expanded into a multi-state computer retail and service organization. In 1989, Peachtree Technologies, Inc.'s technology group expanded into fiber optic automated machinery development, engineering and manufacturing, serving such customers as AT&T/Bell Labs, Sumitomo, Litespec, Alcatel and other fiber optic fiber and cable manufacturing companies around the world. At this time, Peachtree Technologies, Inc. was a world leader in high speed specialized manufacturing equipment for the fiber optic industry. [ Top of page ]

Grier G. Newlin has served as Secretary and General Counsel to the Company since May, 1999. He is a former partner and co-chair of the Business Department in the Atlanta office of Schnader Harrison Segal & Lewis LLP, a national law firm headquartered in Philadelphia, PA. Mr. Newlin has practiced law in Atlanta, Georgia since 1976, specializing in the areas of corporate and securities law. He is a graduate of Davidson College, received his law degree, cum laude, from the University of Georgia Law School and received a masters in international and comparative law, magna cum laude, from Vrije Universiteit Brussel, Brussels, Belgium.

Michael A. Griffith has served as Director of Investor Relations since March, 1997 and was appointed Executive Vice President as of July, 1998. Prior to joining the Company, Mr. Griffith was instrumental in founding American Contract Services, a National Employee Leasing firm and served as managing partner. Prior to 1995, Mr. Griffith served as President of Concrete Solutions, Inc., specializing in restorations, roofing and waterproofing. From 1985 to 1991, he was a Licensed NASD sales representative specializing in real estate financing and corporate startups. From 1977 to 1985, Mr. Griffith was a salesman for O'Neal Steel and Metal Resource in the sale and distribution of steel products. John T. Martina has served as the Company's acting Sales Director since March, 2002, and was named Vice President of Sales in May of 2002. Prior to joining BioMed, Mr. Martina served as Southeast Regional Manager for Net Screen Technologies of Atlanta, developing accounts, policies and sales contacts with Fortune 1000 companies and service providers. He has previously worked with computer technology companies including NextPoint Networks, Computer Associates, and the Unisys Corporation. Mr. Martina is a graduate of Mississippi State University, and holds a B.A. in Business Administration. [ Top of page ]

Ronald J. Flower, Vice-President of Product Development has accrued comprehensive product development experience in research for biomedical sciences at the Johns Hopkins University and in industry during the development of industrial safety and medical products under GMP and FDA compliance guidelines. He has served as Director of R&D, Product Manager, and Consultant for small companies and large corporations including Mine Safety Appliances and Becton Dickinson. During his twenty years as a technical and administrative manager for manufacturing industries, he has brought eleven products from concept to market and has authored thirteen design and process patents. Mr. Flower received a B.S. in Electrical Engineering from Johns Hopkins University. [ Top of page ]
